Generallythe main thing stopping such people is the idea of going from 9-5+money to 24/7+poverty. However, there is a point at which the sheer boredom overcomes the fear of being a student again for some people and they do tend to do quite well since they're all motivated and stuff.

(actually, I know exactly what I was thinking "hrm... if I don't do the PhD I have to do job interviews and stuff... this seems like the easier option")
