Yes, if you want to overwrite it (actually it will move the XP C:\Windows directory to Windows.old)
Best bet is to start with a fresh partition though.
I installed it on a slightly lesser machine last week and it's a lot less gay than Vista, which I absolutely hate, and even seems less gay than OSX, so I'm setting up a dual boot on my main (much better) machine today. If only I can find a way to get classic start menu view back I'd probably move over to it altogether.
Edit: @K2 - officially it's a beta but it's basically the next version of the Vista kernel so feels very polished and 99.9% complete. Smart money is on it being released in September, although obviously they won't announce that yet to avoid harming sales of Windows Me mk2!
