Photoshop, Paint Shop Pro and The GIMP are all capable of loading and saving *.psd image formats?

I think that covers most people on the board. Except those with MSPaint of course. :)

the game itself is quite simple, but it depends how fancy you wanted to make the manager

at the most basic level, players would setup a game on the manager. player1 makes the initial psd and emails it to player2, he would also upload the pic (a jpg) to some webspace and update the manager to say that he's made his move and provide a link to the pic. the manager then sends an email to player2 saying its now his turn. If a time limit were imposed, it would say when they must make their move by.
The manager puts the pic on a match page where people can see it and add their comments to it.

player2 makes their move, emails the psd to player1, updates the manager to say move has been made and provides like to a jpg, manager emails player1 to say its been done and the match progress page is updated.

That's at its most basic.

The fanciest way of doing it would be:
match is started, player1 upload his move to the manager, manager informs player2, player2 downloads the pic (the time is noted), makes their move, uploads it to the manager (time is noted) and the manager informs player1 etc

at any time the players should be able to request a draw or conceed.

I suppose a ref isnt really needed as such, general consensus by the spectators would really decide if a move was illegal or not, either by reading their comments or by a vote system...

to play the game is easy:
-setup a match with someone
-send them your first move
-recieve their move
-make your move
-continue until end
